GENERAL SALES CONDITIONS

1. ORDINI
The buyer accepts entirely the following sales conditions at time of order.

2. QUANTITY AND MINIMUM INVOICING
Minimum invoicing quantities are those indicated in the packing specifications for each item of this price list. Order not corresponding to a complete single packing or the multiple, will be automatically adjusted without authorization from customer.

3. PRICES
Prices indicated herein are purely indicative and may vary during the period of validity of this price list, due to increase of labour costs and rough materials.

4. DELIVERY DELAYS
Delivery time is never binding, possible delays do not give the right to claim reimbursement for direct or indirect damages.If delivery will not take place due to force majeure, for delays in consignment of rough materials, or other unforseen circumstances, delivery time will be postponed and agreed upon between the parties.

5. DELIVERY TERMS
The goods are sold ex works (GEROS plant). All indications of measurements, characteristics and photos of products are given for information purposes only and should be considered in no way binding as GEROS reserves the right to carry out the necessary modifications to improve its products, without prior notice.

6. COMPLAINTS
6.1. Goods always travel at the risk of the buyer, even when they are sold on FOB basis.

6.2 GEROS will not be held responsible for shortage, damage or delays that may occur during transport.

6.3 Any complaint about missing cartons and damages packing must be communicated immediately to the transporter by writing, with copy to GEROS.

7. GUARANTEE
7.1 Goods may not be returned without previous authorization from GEROS.

7.2 Possible complaints for defective parts must be communicated 8 days from the receipt of the goods, by stating the number of the lot of production shown on the carton.

7.3 In case of authorized returns, the goods must be sent exclusively carriage paid and will be credited at the purchase price, minus a charge of 15% to cover administrative costs and expenses to re-pack the goods.

7.4 Products are covered by 12 months guarantee from date of shipment, limited to the replacement of defective products only.

7.5 Guarantee does not include problems due to normal wear, incorrect installation and/or damages due to carelessness. The rest of the conditions according to the italian Civil Code.

8. TECHNICAL DATA
Indications of measurements and drawings of of products are given for information purposes only and are not binding in any way, as they can be modified to improve quality and function.

9. PAYMENTS
9.1 Payments should be made to Geros on due date and for the invoiced amount.

9.2 Any delay in payment beyond due date will give the right to charge interest dues at the official interest rate, increased of 2 points.

9.3 Collection expenses and stamp duties for payments against drafts or bank receipts are charged to the buyer.

9.4 Failure in payments within agreed limits will authorize Geros to suspend further supplies.

10. PROPERTY RIGHTS
Goods remain of Geros property till payment has been completely settled, failure in payment will give the right to Geros to claim return of the goods.

11. DISPUTES AND JURISDICTION
The only court having jurisdiction over any dispute that may arise is the Court of Bassano del Grappa.
